Herschel S. Weinstein, Vice Chair of Lowenstein Sandler’s Life Sciences group, provided legal counsel to firm client Hildred Capital Management, LLC (Hildred), a New York-based private equity firm, as co-counsel with Waller Lansden Dortch & Davis, LLP, on the completion of a majority recapitalization with Gemini Investors of DermCare Management, LLC and Skin & Beauty Center Management, LLC (collectively referred to as “DermCare”). Financial terms of the transaction were not disclosed.
DermCare is a dermatology-focused physician practice management company, with nearly 30 locations across Florida, California, and Texas that provides clinical, cosmetic, and pathology services. Hildred pursues growth equity investments in lower middle-market health care companies with leading products, technologies, and services.
Lowenstein previously worked with Hildred Capital Partners LLC, a family investment office, on Crown Laboratories’ acquisition of Keri® from GlaxoSmithKline and the acquisition of the North American distribution rights of five OTC consumer brands from GlaxoSmithKline.
